All the Elements Involved in Company Incorporation: Contrary to what many believe, there is a host of steps involved in setting up your U.S. corporate structure, and depending on where you are incorporating and what kind of business you are purchasing, the steps look like this:

Write and then submit articles of incorporation / organization  to designated government agency
Publish the approved articles in the newspaper (some states)
Submit published articles to  the government  agency (some States)
Prepare :
o  Minutes
o  Bylaws
o  Operating agreements
o  Stock certificates
o  Units
·       Write resolutions
·       File for a federal tax license(s)
·       File for a state tax license(s)
·       File for city and / or county license(s)

These are the initial steps.  Each state has different requirements, some more and some less. However, generally speaking the list above is an accurate depiction of the process. And when purchasing an American business, as opposed to opening a new one, additional steps are needed, such as  making sure that the seller of the business signs over the trade name and trade mark to you. This will often require that they dissolve their entity as well.
